Terms of Service for Momentum

1. Acceptance of Terms

Welcome to Momentum ("the App," "we," "us," or "our"), a private sales intelligence platform provided as a web application and a companion iOS app. By accessing or using Momentum, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use Momentum.

Momentum is a private, invite-only tool. It is not available to the general public, and nothing in these Terms should be read as an offer to the public at large — access is granted solely to individuals authorised by an administrator, in connection with their role supporting Hyland's healthcare sales and pre-sales activity.

2. Description of Service

Momentum centralises strategic intelligence, financial modelling, competitive analysis, and deal preparation tools for healthcare sales and pre-sales work, including:

• Reference content (sales triggers, account planning templates, discovery question banks)
• AI-assisted analysis of hospital/facility annual reports and legislation (Intelligence Prism)
• A financial ROI calculator for Hyland's OnBase ECM and Hyland CIC products
• Competitive/market analysis and EMR landscape reference data
• A companion iOS app for account lookup, Prism review, ROI scenarios, and deal notes in the field, with offline access to previously viewed data

Momentum is provided free of charge to authorised users as part of their role — there are no subscriptions, in-app purchases, or payment processing of any kind within the App.

3. Access and Accounts

3.1 Administrator-Provisioned Access

There is no public sign-up. Your account is created by an administrator using your work email address, and Momentum's authentication is handled entirely by Google Firebase Authentication — we do not operate a separate account system.

3.2 Account Security

You are responsible for:

• Keeping your login credentials confidential
• Enabling the iOS app's Face ID/Touch ID lock where available, for an extra layer of protection on a shared or lost device
• Notifying us or your administrator immediately of any suspected unauthorised access

We are not liable for loss or damage arising from your failure to protect your account credentials or device.

3.3 Account Termination

An administrator may disable or remove your access at any time, including on offboarding from your role. We may also suspend access if we reasonably believe these Terms have been violated.

4. Acceptable Use

4.1 Permitted Use

You may use Momentum solely for legitimate healthcare sales and pre-sales work in connection with your authorised role. Momentum contains confidential business intelligence and is not licensed for any other purpose.

4.2 Prohibited Conduct

You agree NOT to:

• Share your login credentials with anyone else, or allow anyone without an authorised account to use Momentum through your session
• Export, forward, or disclose Momentum's content (uploaded documents, AI analyses, competitive intelligence, ROI models, deal notes) to any person or organisation outside those authorised to use Momentum, except as required for your legitimate sales work
• Upload any document you do not have the right to upload
• Attempt to gain unauthorised access to Momentum's backend
• Reverse engineer, decompile, or disassemble the App
• Use automated systems (bots, scrapers) to extract data from Momentum

5. AI-Generated Content

5.1 How AI Is Used

Momentum uses Google's Gemini AI to summarise uploaded documents, generate Intelligence Prism disruption-signal analyses, power in-app document chat, and surface news. AI-generated content is clearly labelled.

5.2 Accuracy Disclaimer

DATA IN MOMENTUM MAY BE SOURCED, SUMMARISED, OR GENERATED USING AI AND CAN BE INACCURATE OR OUT OF DATE.

Summaries are a starting point, not a verified source of truth. You must independently validate AI-generated content before making business or financial decisions.

5.3 No Patient Data

Momentum processes organisational documents — never individual patient records. Do not upload documents containing identifiable patient health information (PHI).

6. Content You Upload

By uploading a document, you represent you have the right to share it and it does not contain PHI. Ownership of created content (ROI scenarios, analyses) is retained for the benefit of the team, not as personal property.

7. Confidentiality

Momentum contains sensitive commercial information. You agree to treat all content as confidential and not disclose it outside authorised team use.

11. Disclaimers and Limitation of Liability

MOMENTUM IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF MOMENTUM OR RELIANCE ON AI-GENERATED CONTENT.

Because Momentum is provided free of charge, our liability is limited to nil beyond ceasing to provide the service.

13. Governing Law

These Terms are governed by the laws of Australia.
